1. INSCRIPTION AND CAUTION: To be able to take part in the auction  is an indispensable requirement to do the inscription, submitting the Identity Card, or, Resident's Card or Passport , and leave a cautionary deposit (in guarantee of the fulfillment of the obligations) 

1. To bid for Lots which the starting value of the auction is equal or lower than 10.000.-€, a single deposit of THREE THOUSAND EUROS (3.000.-€) is set.

2. To bid for all the Lots of the auction (except lots 1 and 2), a single caution of TEN THOUSAND EUROS (10.000.-€) is set.

Notwithstanding that LEGAL AUCTIONS SUBASTAS, S.L. claiming the bidder during the auction (in Lots of great economic value) the bond extensions covering at least 20% of the auction value so far.

* LEGAL AUCTIONS SUBASTAS, S.L., keep in their possession during the course of the auction, the identity card that each bidder submit to register, which will be guarded along with the caution, and will be returned to the Bidder at the time, this one goes to the registration table, either to pay the purchase, as if no allotment, to withdraw the given caution, previous return of the racket, with the assigned number of Bidder, granted to the moment of the inscription.

In case of not allotment of any lot, the caution will be returned to the Bidder after the Auction, or, when the Bidder wants to leave the room.

If The Bidder is the Buyer of any lot, and the purchase exceeds the value of the caution, it will pay the value of the purchase and in no case be returned. In case, that the purchase is less than the value of the caution, LEGAL AUCTIONS SUBASTAS, SL reserves the right to withhold the check of the caution to guarantee payment. As The Buyer makes the payment of purchase LEGAL AUCTION SUBASTAS, S.L., IMMEDIATLY return the check the way the Buyer directed.

Mentioned cautionary deposit  MUST BE IN CERTIFIED CHECK  issued in favor of LEGAL AUCTIONS SUBASTAS, S.L., CREDIT CARD or BY CASH.

2.   TERMS (ENDS) OF  PAY AND PROCEDURE:

All the terms of payment will take place in agreement with the article 7 of the General Conditions of Sale.

3. THE TOTAL ACQUSITION COST CONSIST:

a) VALUE OF AUCTION SALE for the highest bid.

b) 15% Premium of the allotment value on the auction.

c) VAT or I.V.A. when applicable

4.- REMOVED:

4.1. The payment and delivery of goods sold, will be held in accordance with Articles 7 and 9 of General Conditions of Sale.

4.2. Contingency plans for delivery, will be in line with the importance or size of the Lots to be removed.

4.3. The Buyers are required to remove their Lots before October 31, 2014. Completed this deadline, items not removed will be considered abandoned.

4.4. Only goods sold will be delivered through the submission of Proforma Invoice by the purchaser and prior authorization of LEGAL AUCTIONS SUBASTAS, S.L.

LEGAL AUCTIONS SUBASTAS, S.L.: Legal Auctions Subastas S.L. established in Spain, Gran Vía 69, 7º Of. 13, 14 and 15 or the person(s) entrusted by Legal Auctions Subastas, S.L for the organization of the Auction concerned.

2.

Auction: The sale in public of moveable assets and real estate to the highest bidder.

3.

Racket: Cardboard shaped racket or paddle tennis is awarded to the bidder at the time of registration and containing its bidder identification number. It is absolutely nontransferable.

4.

Lot: A good or a group of goods, which is/are auctioned (under one number).

5.

Vendor: The person(s) by whose order a lot is auctioned and who is/are authorized by virtue of any right to give that order.

6.

Bid: Any sum offered for a lot or combination of lots during the Auction.

7.

  Bidder: The person who makes a bid at the Auction or after it.

8.

9.

Allotment: Closing of the bid to the best offer if this one covers the Starting Value of the Auction, or Value of Reservation established and, not published.

Record of offer: Offer that, in exceptional cases, the Auctioneer admits, and that, not covering the above mentioned Starting Value, more comes closer the same one.

10.

Purchaser/Buyer: The person to whom a lot or a combination of lots has fallen during the auctions or after.

11.

Purchase Price: The amount of the highest bid increased by the following costs :

        -       15% Premium of the highest bid Auction

        -       VAT or I.V.A. at legal tax, when applicable.

12.

Delivery: The actual delivery of the lot(s) to the Purchaser or his authorized agent.

13.

Special Auction Terms : The provisions applying in addition to these general auctions terms, stated in the Auction catalogue concerned, or orally announced before the Auction of the lot or combination of lots concerned by Legal Auctions,  S.L.

Legal Auctions Subastas, S.L strive for a correctness and clarity as large as possible of the description of a lot in Auction catalogue, without accepting any liability for damage resulting from incorrect or incomplete descriptions or other damage.

A lot will be sold with all faults in the state in which it is at the time of the allotment. The Purchaser will be deemed to have carefully investigated beforehand the lot purchased by him.

LOTS SOLD “AS IN, WHERE IS”.

The specification of a fault found by LEGAL AUCTION SUBASTAS, SL, in a lot, does not imply that others lots in which nothing is said about it, are free from damage or defects.

In that sense, the Buyer of a lot cannot claim to LEGAL AUCTIONS SUBASTAS, SL, by the fact that not be specified the breakdown or damage in the description of the lot.

4.

Buyers are responsible for all matters concerning dismantling, packing and removable of the sold lots. Buyers are also responsible to apply good and safe techniques for the above mentioned processes. A lot will be for the risk of the purchaser from the moment of allotment. Since it can given the circumstance that there is no safety in the facilities of the Auction, LEGAL AUCTIONS SUBASTAS, S.L. not accept any liability towards the Purchaser for any damage, losses or whatever nature. One recommends to The Buyer to assure his purchases as soon as possible.

The organization, preparation and execution of the auction are of Legal Auction Subastas’s responsability.

2.

The Auction will be held in the order as stated in the catalogue, but Legal Auctions Subastas, S.L. will have the right to deviate therefrom.

3.

Any item not marked or numbered will not be considered in the Auction without the approval from either The Vendor or LEGAL AUCTIONS SUBASTAS, S.L.

4.

Legal Auctions Subastas, S.L  will have the authority before or during the Auction to decide the following :

-    Not to acknowledge a bid as such;

-    To exclude one or more prospective buyers from the Auction;

-    To join items into lots, to split lots and to withdraw item/lots from the Auction;

-    Insofar as it concerns all lots or one or more lots, to cancel and to interrupt the Auction, to again proceed to Auction, or to resume the Auction at the penultimate bid;

-    To rectify mistakes of Legal Auctions Subastas, S.L at bids and/or allotments, without a prospective Buyer being able to take profit with these mistakes;

-    To take other, in its opinion, necessary measures

Legal Auctions Subastas, S.L will decide whether a mistake has been made by The Bidder in making the bid.

6.

The judgement of LEGAL AUCTIONS SUBASTAS, S.L. as regards the development of the Auction and the explanation or adaptation of the Auction terms will be decisive.

7.

For anything as regards the Auction, the parties involved in the Auction will choose domicile, if possible, at the office of Legal Auctions Subastas, S.L.

The allotments will be the highest bids.

Bidding will take place in public in a manner clearly observable. Legal Auctions Subastas, S.L. will be authorized to bring out bids on behalf of third parties.

3.

The Bidder of the highest bid is responsible for his bid and will be the lot’s purchaser after allotment.

The Bidder immediately prior to The Buyer of a lot, and the other bidders in descending order, keep their offers during the act of the Auction until the administrative closure (billing and collections to buyers) becoming Buyers of the lot, if the allotment the lot could not be consummated for original Buyer insolvency, without prejudice to the responsibility of this and the serious consequences of noncompliance.

Lots will be sold to the highest bid. Minimum values may however be imposed on some lots. When the highest bid is less than the minimum value, Legal Auctions Subastas, S.L. will register this highest offer. LEGAL AUCTIONS SUBASTAS, S.L. will have the information of the approved offers, in the following days of de Auction.

If the Values are not published or are published partially, The Auctioneer will be who requests offers.

Bids: All bids or offers are personal in the sense of affecting the Bidder registered and associated with a unique customer number listed on your racket Bidder.

Moreover, bids or offers made ??by a Bidder in the nature of unconditional, irrevocable and without restriction.

The Bidder registered for the auction to hold a racket, may not transfer or lend his racket to any person, being only responsible, for purchases or allotments of goods by others, who have used his racket during act of the auction, even without their knowledge.

In case of loss or misplacement of the racket during the auction, the Bidder shall immediately notify staff LEGAL AUCTION SUBASTAS, SL, assuming, of not doing so, the allotments of lots assigned to that racket during the act of Auction.

Registration of Offer: Offers that, in exceptional cases, the Auctioneer admits, and that, not covering the above mentioned Minimal Value or of Reservation, more comes closer the same one. In these cases, in order that the Registration of Offer admitted to step, the Offerer will have to give a caution for value of 20 % on the total amount of his offer (Registration of Offer).

LEGAL AUCTIONS SUBASTAS, S.L will inform the Offerers to whom a Registration of Offer should have admitted into a term from two to ten working days. During this time LEGAL AUCTIONS SUBASTAS, S.L. will retain the caution in his power like guarantee.

In case the caution given by the Offerer in the moment of the inscription to the Auction, does not cover 20 % demanded to admit a Registration of Offer, LEGAL AUCTIONS SUBASTAS, S.L. will demand the difference from the Offerer up to covering the above mentioned amount. If lot/s is not / be allotment/s in this term, LEGAL AUCTIONS SUBASTAS, S.L. will return the above mentioned caution to THE OFFERER.

The Registration of Offer is IRREVOCABLE, so that THE BUYER cannot withdraw his offer and remains obliged to pay the remaining amount of his purchase in 48 following hours from the confirmation of Acceptance of his Offer on the part of LEGAL AUCTIONS SUBASTAS, S.L., without prejudice that the loads an charges concerns allotments lots. In case of not expiring with his obligations in the foreseen term, it will lose the dedicated caution.

The Bidder understands that a REGISTRATION OF OFFER will not be, in any case considered as a sale, auction or allotment; until confirmation receives in this sense on the part of LEGAL AUCTIONS SUBASTAS, S.L., and quite, obviously, in the same conditions that govern the rest of the allotments (loads and charges, pending of cancellation, etc.).

The person who at the Auction actually brings out the bid will be designated as Bidder, even if he declares not to have bought for himself, and will be personally responsible for the observance of the obligations as regards Legal Auctions Subastas, S.L., or the Vendor.

Legal Auctions Subastas, S.L may accept bidding orders of candidate buyers, and may set further conditions as regards these bidding orders. Neither LEGAL AUCTIONS SUBASTAS, S.L., or its personnel may in any way be held responsible for neglects or mistakes in the execution of the bidding orders. Legal Auctions Subastas, S.L., will have the right to refuse bidding orders and in case of acceptance of a bidding order to demand full or partial payment.

At the same time Legal Auctions Subastas, S.L will have the right to refrain from the execution of a bidding order, if the description in the Auction catalogue of the lot or combination of lots to which the bidding orders relates is revoked during the Auction and substituted with another description.

The Auction terms unabridgedly apply to a purchase achieved by execution of a bidding or purchaser order.

The purchase agreement as a consequence of the Auction will be achieved by the Allotment. The Allotment includes the business agreement to deliver under the suspensory condition that The Buyer has satisfied all his obligations to Legal Auctions Subastas, S.L and The Vendor.

Legal Auctions Subastas, S.L  will have the right of :

-          not to allot or

-          to allot under suspensory condition

In case of the purchase price is not paid until this date, Legal Auctions Subastas, S.L has the right to consider null the selling, or alternatively, charge the purchaser with a 15% commission of the purchase price added to default interest in respect of such period.

LEGAL AUCTIONS SUBASTAS, S.L. saves himself the right to request the Buyers, a bank guarantee for the coverage of the payments corresponding to the purchase of the lots.

The total payment of the lot or set of lots will to be realized before proceeding to dismantle or retreat lot (s), even to proceed to the retreat of partial form.

1º Payment or caution: In case of refusal or inability of The Buyer to satisfy cautionary deposit of 50%, at the choice of Legal Auctions Subastas, S.L the lot or the combination of lots will be again brought up for Auction or alloted to the highest Bidder(s) or the penultimate Bidder(s), as the case may be, or be sold privately under Auction terms, without prejudice to The Buyer forfeits the bond deposited and incurring other responsibilities.

2º Paymemt or rest: If The Buyer does not obey the above mentioned conditions of payment, the cautionary deposit mentioned on item nº 1 of this article will immediately revert to LEGAL AUCTIONS SUBASTAS, S.L.

Foreign purchasers will have to hand a Bank Guarantee or a Certified Check over to LEGAL AUCTIONS SUBASTAS, S.L., in order to pay this cautionary deposit.

The attendance at the Auction is obliged to satisfy LEGAL AUCTIONS SUBASTAS, S.L. 15% (plus VAT when applicable) of auction value. Any incident that may lead to a resolution of the sale, in no case shall not relieve the contractor to pay legal fees. Consequently, non-payment of part, or the entire purchase (lots allotment) by the Purchaser shall not relieve it of paying to LEGAL AUCTIONS SUBASTAS, S.L., stipulated commission, notwithstanding that both, SELLER and LEGAL AUCTION SUBASTAS, S.L., directly exercise the legal actions, law assist them.

In this case, The Buyer will have to pay the quantity of 50€ per day for every lot, with a view to expenses of warehouse in the facilities in which the lots are, as well as the expenses that, in case, could be caused by his movement to another place. All this, during the period between the breach and the resolution of the effect.

8.1.

Every Bidder will be under the obligation to properly prove his identity if requested by Legal Auctions Subastas, S.L and shall provide all the necessary information in order to investigate whether the party(ies) involved can/will be able to satisfy his/their financial obligations resulting from this Auction.

8.2.

VOLCONSA CONSTRUCCIÓN Y DESARROLLO DE SERVICIOS, S.A., (EN LIQUIDACIÓN),  promises to lift the seizures or charges in the maximum term of FOUR MONTHS, without prejudice that the above mentioned lifting can be realized before this date. The possible one not lifting for the corresponding court of some seizure order, in the stipulated term, on some lot awarded in the auction, will give right to the Buyer, to the recovery of the amount of the price paid without interests, giving up presenting expressly claims of any type against the SELLER y/o LEGAL AUCTIONS SUBASTAS, S.L. In this sense, the Buyer who has withdrawn the goods of the place of the auction, will have to return them to its place of origin without any cost for THE SELLER y/o LEGAL AUCTIONS SUBASTAS, S.L. in the five days following the maturity of the term stipulated to proceed to the lifting of the seizure order. No expenses will be reimbursed improvements, repairs, etc.., in goods, supported by Buyer.

This term of FOUR MONTHS, it will be able to be extended to instance of THE BUYER.

As soon as The Buyer has satisfied all his payment obligations as afore-stated, may collect the lot(s) concerned at the hours and place fixed by Legal Auctions Subastas, S.L., by showing proper identification against the delivery of the goods. The Buyer will be under the obligation to collect all the lots before October 31^th, 2014, unless LEGAL AUCTIONS SUBASTAS, S.L., explicitly extended the deadline. If the withdrawal of (the) lot (s) has not been made before that date, shall be deemed abandoned by the Buyer.

After delivery it is no longer possible to demand dissolution of the purchase agreement.

A lot will be for the risk of The Buyer from the moment of the allotment. LEGAL AUCTIONS SUBASTAS, S.L and THE SELLER do not accept any liability towards the purchaser for any damage of whatever nature.

Could give the circumstance of there was not security in the facilities of the Auction, neither LEGAL AUCTIONS SUBASTAS, SL., or THE SELLER, do no accept any responsibility for hurts, losses or thefts in the equipments. One recommends to The Buyer to assure his purchases as soon as possible.

4.

The Buyer is under the obligation respect the dismantling practises and schedules referred on the Special Conditions of Sale.

5.

The Buyer will be under the obligation to carefully and expertly collect their lot. They will be responsible for the full amount for any damage that is inflicted to properties of others in connection therewith. They will furthermore be under the obligation to indemnify LEGAL AUCTIONS SUBASTAS, S.L and THE SELLER for all claims of third parties, resulting from that collection.

Those who enter buildings and sites on the viewing days and/or auction day and/or on delivery, in/on which the viewing days/auction are/is being held and/or the delivery takes place, will enter these buildings and sites entirely on their own risk. One will be under the obligation to follow the instructions of LEGAL AUCTIONS SUBASTAS, S.L  and/or persons called in by LEGAL AUCTIONS SUBASTAS, S.L

LEGAL AUCTIONS SUBASTAS, S.L and THE SELLER do not accept any responsibility for any damage to the parties involved, which entails the entering of said buildings and sites.

To this general terms and legal relations, which as regards the auction might occur, Spanish law will be applied.

CASE OF ANY DISPUTES THE SPANISH TEXT OF THESE AUCTION TERMS WILL BE GIVEN PREFERENCE OVER THE ENGLISH TEXT
