  • Terms and Conditions – Elite Auctions Ltd (Trade-Only Auctions)

Introduction & Scope

  • These Terms and Conditions (“Terms”) apply to all auction sales conducted by Elite Auctions Ltd (“Elite Auctions”, “we”, or “the Auctioneer”). All auctions operated by Elite Auctions are trade-only, meaning they are open only to business participants and not to consumers. By registering an account and/or placing a bid, you represent that you are acting in the course of a business and not as a consumer, and you acknowledge that you have read, understood, and agree to be bound by these Terms in full. You also confirm that you are at least 18 years old and legally capable of forming a binding contract. As this is a trade-only auction, consumer protection laws (including the Sale of Goods Act 1979, the Consumer Rights Act 2015, the Unfair Contract Terms Act 1977, and related consumer regulations) do not apply to any sale. You agree not to rely on any rights or remedies under consumer law in relation to your purchase. All sales are made under these Terms and under the applicable commercial law.

Auctioneer’s Role as Agent

  • Elite Auctions Ltd acts solely as an agent for the seller (the “Vendor”) in each auction transaction. The contract of sale for any lot is between the Vendor and the buyer (“you” or “the Bidder”). Elite Auctions is not a party to that contract of sale; our role is to facilitate the auction and conclude the sale on the seller’s behalf. All descriptions or illustrations of lots are provided by the seller or based on information supplied by the seller. Elite Auctions Ltd makes no warranties or guarantees as to the accuracy, completeness, or fitness for purpose of any lot descriptions, photographs, or representations. It is your responsibility as a bidder to inspect and satisfy yourself about the condition, description, and suitability of each item prior to bidding. We strongly advise all bidders to perform their own due diligence and, where possible, physically inspect the lot (by appointment) before placing a bid. All lots are sold “as seen” and as is, in their present condition, with any faults or defects, and without any warranty or guarantee from Elite Auctions or the seller (except any provided explicitly in the lot description). Elite Auctions Ltd shall not be liable for any error or omission in the description of any lot or for any fault, defect, or damage to any lot. The buyer acknowledges that no guarantees, warranties, or representations (express or implied) are given by the Auctioneer or the seller as to the quality, merchantability, or fitness for purpose of any lot.

Bidder Registration & Eligibility

  • To participate in our auctions, all bidders must register an account with Elite Auctions Ltd and provide valid business details and identification as required. By registering, you warrant that you are a business trader (such as a company or sole trader purchasing for business use or resale) and not an individual consumer. Elite Auctions may require verification of your business status. The Auctioneer reserves the right, at its discretion, to approve or reject any registration or to impose certain conditions before allowing bidding (for example, a deposit or bank reference). Account holders must ensure that all information provided (including contact details like email) is accurate and up to date, as these will be used for invoicing and official communication. We reserve the right to refuse to register any person or entity as a bidder, and to suspend or terminate any bidder’s participation in our auctions, for any reason (including past non-compliance with terms or credible concerns about the bidder’s ability to pay). Each bidder is responsible for maintaining the confidentiality of their account login credentials and for all activity on their account. If we suspect unauthorized use or any misuse of the account, we may suspend the account immediately. All bidders are reminded to only place bids if you intend to complete the transaction and adhere to these Terms fully; failure to do so may result in sanctions as described below.

Bidding Process and Conduct of Auctions

  • When bidding in an Elite Auctions Ltd sale, you agree that each bid you place is a binding offer to buy the lot at that price (plus applicable fees and taxes, as outlined below). Bids cannot be withdrawn or canceled after they are placed. The highest bid received (meeting or exceeding any reserve price) at the close of bidding will ordinarily be the winning bid. However, Elite Auctions reserves the right to refuse or not accept any bid at our sole discretion, even if it is the highest bid, and to resolve any dispute between bidders or any uncertainty about bids in such manner as we see fit (which may include re-offering the lot or declaring an auction null and void in extreme circumstances).
  • All auctions are conducted with a reserve price on each lot, unless stated otherwise. The reserve is the confidential minimum price the seller is willing to accept. Elite Auctions (as agent for the seller) may bid on behalf of the seller up to the amount of the reserve, but will not bid above the reserve. We reserve the right to set or change reserve prices at any time before the conclusion of the sale. If the highest bid at the close of the auction is below the reserve, the highest bid may be treated as a “provisional bid.” In such cases, Elite Auctions is authorized to submit that high bid to the seller for their consideration. The seller may, at their discretion, decide to accept the highest bid even if it is below the reserve. Accordingly, any bid you place on a lot that does not meet the reserve may remain open for acceptance by the seller for up to 24 hours after the auction’s close. If the seller accepts your bid within 24 hours after the auction, you will be notified and issued an invoice, and you will be obligated to purchase the lot just as if you had been the winning bidder during the auction. (In other words, you do not necessarily have to be the highest bidder at the fall of the hammer to win the lot—what matters is the seller’s acceptance of the final bid.) If the seller declines to accept the provisional high bid, no contract is formed and no purchase occurs on that lot.

For Timed Online Auctions

  • Our platform may employ an auto-extension feature to prevent “sniping”: if a bid is placed in the final moments of the auction countdown (e.g. within the last 10 minutes of the lot’s scheduled closing time), the auction end time for that lot may automatically extend by a short period (for example, an additional 10 minutes) to allow other interested bidders a fair chance to respond. This extension may repeat if new bids continue to be placed in the final minutes. All bids are logged and timestamped; in the event of any dispute about which bid was received first or any issue with the bidding system, Elite Auctions’ records shall be final. Elite Auctions will not be liable for any technology failures or interruptions that affect the bidding process, but we will make commercially reasonable efforts to ensure our platform is functioning properly during an auction.
  • The Auctioneer also reserves the right to withdraw any lot from sale or cancel/postpone the auction entirely at any time before the auction concludes, without prior notice. We may do so for any reason (for example, if there is an error in the listing, the item is no longer available, or any other issue arises). Elite Auctions shall not be liable for any loss or expense incurred by bidders as a result of a withdrawn lot or canceled auction. If a lot is withdrawn after bidding has ended and payment has been made (due to the item becoming unavailable or the seller’s failure to provide it, for instance), the buyer will receive a full refund of any payment made for that lot as the sole remedy. Beyond the refund of the purchase price (and buyer’s premium if already paid), no further compensation will be due to the buyer for the lot being unavailable.
  • All bidders and buyers are expected to conduct themselves in a professional and lawful manner during the auction. Any form of auction manipulation, bid rigging, collusion, or fraud is strictly prohibited. Elite Auctions Ltd reserves the right to suspend or permanently ban any account holder who we suspect to be engaging in prohibited conduct, interfering with the auction process, or violating these Terms. We may also report any illegal activities to the appropriate authorities.

Pricing, Buyer’s Premium, and Fees

  • All bids and prices are in Pounds Sterling (GBP) unless stated otherwise. In addition to the hammer price (the winning bid amount) for each lot, the buyer will be charged a Buyer’s Premium on each lot purchased. The Buyer’s Premium is a commission payable to the Auctioneer, calculated as a percentage of the hammer price. The exact Buyer’s Premium rate may vary by auction or lot (typically in the range of 10% to 25% of the hammer price) – the applicable rate for each lot will be stated in the auction details or on the lot’s information page (for example, under an “Additional Fees” section).
  • All Buyer’s Premium charges are subject to VAT at the standard UK rate (currently 20%). Additionally, for online auctions, an internet bidding surcharge may apply to each lot, generally in the range of 1% to 5% of the hammer price. If an internet surcharge applies, it will also be disclosed in the lot details and is likewise subject to VAT. These fees help cover the cost of providing the online bidding platform.
  • Certain lots may also be subject to VAT on the hammer price (the sale price of the item itself), depending on the status of the seller and the nature of the goods. Unless stated otherwise in the lot description, it should be assumed that VAT at 20% applies to the hammer price of the lot. For example, if the seller is VAT-registered and the item is sold within the UK, VAT will usually be added to the hammer price. If a lot is being sold under special schemes or by a seller not registered for VAT, the lot description will indicate if no VAT is charged on the hammer price. It is the bidder’s responsibility to check the lot description for any mention of VAT status. In all cases, VAT will still apply to the Buyer’s Premium and any internet fees because those are services provided by Elite Auctions in the UK.
  • To summarize, the total amount payable by the buyer for each lot will be: the hammer price, plus the Buyer’s Premium, plus any internet surcharge (if applicable), plus VAT on those amounts as applicable. All VAT charged will be clearly shown on your invoice.

VAT and Export Sales

  • If you are purchasing lots for export out of the UK, please be aware of the following VAT rules and procedures:
  • • VAT Deposits: Elite Auctions Ltd may require overseas buyers (or UK buyers intending to export goods) to pay a VAT deposit at the point of purchase. This deposit would typically be equivalent to the VAT amount that would be due on the hammer price. The deposit is held as security and is refundable upon satisfactory proof of export (as described below). Essentially, even if an item is intended for export, the buyer must initially pay any VAT due, and then claim a refund once export is confirmed.
  • • Proof of Export: In order to refund VAT on the hammer price for exported goods, we (and the Vendor) must receive valid evidence of export. The buyer is responsible for exporting the goods in compliance with all relevant regulations. Acceptable proof of export may include documents such as: a stamped CMR (Consignment Note) for road transport, a Bill of Lading for sea freight, Airway Bill for air freight, export customs declarations, or other official shipping documents clearly showing the goods have left the UK. This evidence must show the lot in question and the export destination. The buyer should submit copies of such documentation to the Vendor (seller) and notify Elite Auctions Ltd via email of the export completion. All proof of export must be provided within 28 days from the date of the invoice.
  • • Refund of VAT: Upon receiving and verifying adequate proof that the goods have been exported from the UK within the required timeframe, the VAT charged on the hammer price (or the VAT deposit collected) will be refunded to the buyer. This refund will typically be processed within 7 days of validation of the export documents. Please note that VAT on the Buyer’s Premium and any other fees is non-refundable under any circumstances, since those services are considered to be supplied in the UK. Only the VAT on the goods themselves may be refunded, and only when legal export is documented.
  • • Failure to Provide Proof: If the buyer fails to provide acceptable proof of export within 28 days of the invoice, then no VAT refund will be made. Any VAT deposit paid may be forfeited and passed to the appropriate authorities as VAT, or otherwise retained to cover VAT liabilities. In short, if you do not complete the export process or cannot demonstrate it in time, the sale will be treated as a domestic UK sale and VAT will remain due on the hammer price.
  • • Important Notes: Elite Auctions Ltd itself does not assume responsibility for obtaining or processing your VAT refund beyond facilitating the above procedure. We do not act as an exporter or shipper of the goods. Our role is to facilitate communication between buyer and seller and to apply refunds once valid proof is received. The ultimate responsibility to reclaim VAT (where applicable) and to comply with export regulations lies with you as the buyer. Also, if you choose to collect the goods and handle export on your own (or through your own freight agent), the same requirements for proof apply. No VAT refunds will be made without the required documentation. If you have questions about VAT on export sales, please inquire before bidding or consult a tax professional.

Payment Terms

  • Invoice and Deadline: If you are the winning bidder on one or more lots, an invoice will be issued by Elite Auctions Ltd shortly after the auction’s end (usually within hours) and sent to the email address registered with your account. It is the buyer’s responsibility to monitor their email (including any junk or spam folder) for this invoice and any other communications from the Auctioneer. Payment in full is due within 24 hours of the invoice being issued, unless otherwise explicitly agreed in writing by Elite Auctions Ltd. Timely payment is of the essence.

Payment Method:

  • All payments must be made by bank transfer (electronic funds transfer) in GBP. We do not accept cash, cheques, credit/debit cards, or any other form of payment for auction purchases. The necessary bank account details for Elite Auctions Ltd (account name, sort code, account number, IBAN, etc.) will be provided on your invoice to facilitate the transfer. When making the payment, you must reference your invoice number in the payment reference/remarks, so that we can identify your payment quickly. The buyer is responsible for any bank charges or fees associated with the transfer to ensure the full invoiced amount is received by us.
  • Payment is considered received only when the full amount has cleared into the designated account of Elite Auctions. If you anticipate any difficulty in meeting the 24-hour payment deadline (for example, due to banking cut-off times or limits), you must contact Elite Auctions immediately to seek an extension or make alternative arrangements. Granting any extension or alternative terms is at our sole discretion and, if given, will be confirmed by us in writing. In the absence of such agreement, late payment or non-payment will invoke the consequences below.

Title and Ownership:

  • Ownership of the lot does not pass to the buyer until full payment (including hammer price and all applicable fees and taxes) has been received by Elite Auctions Ltd. Once full payment is received, the buyer will acquire title to the lot, subject to these Terms. However, the risk in the lot (for instance, the risk of loss or damage) transfers to the buyer at the moment the auction lot is declared sold (i.e., at the fall of the hammer or when we announce you as the winner). This means that once you have won the lot, you are responsible for it, even before you have collected it, so you should arrange insurance if appropriate. Elite Auctions will take reasonable care of items while they remain in our or the seller’s custody, but we are not liable for loss or damage after the sale is concluded.

Default and Consequences of Non-Payment

  • Winning an item at auction creates a legally binding contract for you to purchase that item and pay the full price. If you fail to fulfill this obligation, the following consequences and remedies will apply:
  • • Initial Reminder and Sale Cancellation: If we have not received the full payment within the 24-hour payment period, we may send you a payment reminder. If payment is still not received by the end of 48 hours from the invoice issuance (i.e., 24 hours overdue without prior agreement), you will be in breach of contract for failing to pay. Elite Auctions Ltd reserves the right at that point to cancel your purchase of the lot. In the event of such cancellation, you will lose any claim or title to the lot, and the lot may either be offered to an underbidder, re-listed in a future auction, or otherwise disposed of at our discretion. We may also immediately suspend or terminate your bidding account due to this non-payment.
  • • Penalties and Fees: If a sale is canceled due to your non-payment, Elite Auctions is entitled to recover from you a reasonable pre-estimated damage amount for the losses and costs incurred. In such case, we will issue you a separate “Cancellation Fee” invoice (or penalty invoice) for an amount up to 20% of the hammer price of the lot(s) you failed to pay for. (This roughly corresponds to lost commission, storage, and remarketing costs we and the seller incur due to the default.) You must pay this cancellation fee within 7 days of the invoice date. Payment of the cancellation fee does not grant you any rights to the lot – it is a compensation for breach, and we and the seller retain the right to resell the lot.
  • • Interest on Late Payments: If, despite reminders, any amount due (whether it’s the original invoice or the cancellation fee or any part of either) remains unpaid beyond the deadlines stated, the unpaid amount will incur interest at 8% per annum, calculated on a daily basis from the due date until payment is made in full. We reserve the right to add such interest to the outstanding balance without further notice.
  • • Debt Recovery Actions: After a payment becomes more than 7 days overdue, we will consider you to have repudiated the sale agreement and the debt may be referred to a commercial debt recovery agency or pursued through legal action. At that stage, you will be liable for all additional costs of collection. This includes, but is not limited to, any debt collection agency fees, legal costs, and administrative fees incurred by Elite Auctions Ltd in pursuing the debt. Such recovery costs will be added to your owed amount. As a guideline, additional charges of at least 15% of the total unpaid amount (plus any court costs and reasonable legal fees) can be expected in a formal debt recovery process. Elite Auctions also reserves the right to impose a fixed administrative charge (for example, £295 as an admin fee for handling the default) on top of these costs. All these sums will be your responsibility to pay.
  • • Banning and Legal Recourse: In addition to financial penalties, repeated or serious failure to pay may result in Elite Auctions permanently banning you from all future auctions and possibly from sister platforms or associated auctions. We take non-payment very seriously due to the disruption it causes. Elite Auctions Ltd also explicitly reserves all rights to pursue appropriate legal remedies for breach of contract. This may include suing for the full hammer price and fees, or for damages, if the situation warrants (for example, if the resale of the lot results in a lower price, we may seek to recover the difference from you). You agree that the measures outlined above are reasonable and necessary to protect the interests of the Auctioneer and the sellers in the event of buyer default.

Collection of Purchases

  • Once your payment for a lot has been received in full, you will be provided with the necessary collection details for that lot. Collection details will typically include the location of the goods, contact information to arrange pickup, and available times for collection. Note that the location of the lot may vary from item to item (lots are often at the seller’s premises or another storage location); always refer to the information given for each lot and the instructions provided after sale. It is your responsibility as the buyer to collect the lot from the specified location. Elite Auctions Ltd does not automatically ship or deliver items to buyers (see the Delivery section below).
  • Unless otherwise stated, collection is by appointment only. After you have paid, you should promptly contact the party indicated (it could be Elite Auctions or directly the seller or their agent, as instructed) to schedule a pickup appointment. Collection appointments are generally available during normal business hours and must be coordinated in advance – arriving without an appointment may result in the item not being released to you at that time. When collecting, you (or your hired transporter) will need to present identification and/or a release authorization, and possibly a copy of the invoice marked “Paid,” to verify you are the rightful purchaser.

Timelines:

  • Buyers are expected to collect their purchased lots within 5 days of the auction end or of receiving the collection details (unless a different time frame is specified for a particular auction or agreed upon). In some auctions, specific collection deadlines or windows (e.g. a particular day or two) may be stated in the auction catalogue or lot description – in those cases, those specific deadlines apply. It is crucial to adhere to the given timeframe for removal of goods. Failure to collect on time may incur storage fees (see below). If you anticipate any difficulty in collecting within the allotted time, please inform us as soon as possible; we and the seller may be able to agree on an extension or alternative pickup arrangement at our discretion (additional charges may apply).
  • When collecting the item, the buyer assumes full responsibility for the packing, loading, and transportation of the lot. You should ensure that you or your transport contractors have any necessary equipment, vehicles, and manpower to safely remove the item. Neither Elite Auctions nor the seller will provide manpower or equipment (such as forklifts) for loading unless explicitly stated otherwise. Any damage to the premises or injuries that occur during removal will be your responsibility. You must follow any site safety rules provided at the pickup location.

Delivery and Shipping

  • Elite Auctions Ltd does not offer delivery or shipping services as standard. It is the buyer’s responsibility to arrange for collection in person or through a third-party carrier or freight forwarder. If a lot’s description mentions that delivery might be available, this is based on information from the seller – typically meaning the seller has indicated they can, for an additional charge, arrange delivery of the item to the buyer. If you require delivery, you should inquire about this before bidding or immediately after winning, so we can put you in contact with the seller to discuss options. Any delivery service, if offered, will usually only be arranged after full payment of the invoice is made, and any delivery charges will need to be paid separately (often directly to the seller or their courier).
  • Please note that any agreement for delivery is strictly between you (the buyer) and the seller or their chosen courier. Elite Auctions Ltd is not a party to any delivery agreement and assumes no responsibility for the logistics, timing, or condition of items once they are handed over for delivery. We will not be liable for any loss or damage arising from delivery arrangements, delays, or failures. If an item is damaged or lost in transit, any claim must be taken up with the carrier or the seller, not with Elite Auctions. No refund of the purchase price will be given by the Auctioneer on the basis of issues related to delivery, as the sale is considered complete upon collection by the courier or buyer. It is recommended to insure valuable items during transit if you arrange shipping.

Storage Fees & Uncollected Lots

  • As noted above, purchased lots should be collected within the specified period (typically 5 days from invoice or notification of collection details, unless stated otherwise). If you do not collect your items within that initial free period, storage charges will begin to accrue. Elite Auctions Ltd (or the seller, as the case may be) reserves the right to charge a storage fee of 5% of the hammer price per day for each day the item remains uncollected beyond the free period, plus VAT on that fee. There is a minimum storage charge of £20 + VAT per day per lot. These storage fees will apply starting on day 6 after the available collection date and are charged for each calendar day (including weekends and bank holidays) until collection.
  • Before you can collect a lot that has accrued storage charges, all such outstanding charges must be paid in full. We will provide an invoice for any storage fees due. If you know you cannot collect within the standard timeframe, sometimes it may be possible to arrange in advance for extended storage at a negotiated rate; otherwise, the above default fees apply.
  • If a lot is still not collected by the end of 20 days from the auction conclusion (or from when we have provided collection instructions, if later), it will be deemed an “abandoned lot.” In the case of an abandoned lot, you as the buyer forfeit any right or title to the item. Ownership of the item will revert to the seller or transfer to Elite Auctions Ltd (as bailee for the seller) at our discretion, without any obligation to refund the purchase price. Essentially, if you fail to pick up your goods for 20 days, you will lose the item and the money you paid for it. The Auctioneer (and/or the seller) may then dispose of or resell the item as they see fit to mitigate storage losses. You will still be liable for any storage fees that accrued up to the date of abandonment, and for any additional costs associated with the disposal of the item.
  • Elite Auctions will attempt to contact the buyer via email and/or phone prior to deeming goods abandoned, but ultimately it is the buyer’s responsibility to ensure timely removal. Do not bid if you cannot arrange to collect the item within the required timeframe.

Lot Condition and Inspection

  • Elite Auctions Ltd strives to provide accurate information about each lot, but it remains the buyer’s responsibility to assess condition. All items are sold on an “as is, where is” basis with no guarantees or warranties except any that may be expressly provided by the seller in the description. We highly recommend that potential buyers take advantage of any preview days or appointment viewings to inspect the lots in person. Where physical inspection is not possible, bidders should carefully review all available photographs, videos, and descriptions, and may request additional information or condition reports from us before the auction ends. By placing a bid, you acknowledge that you have either inspected the lot to your satisfaction or waived your right to do so, and you accept the lot in its present condition.
  • Descriptions: The information provided in catalogues, lot listings, or by auction staff (including make, model, year, specifications, measurements, condition, usage history, mileage/hours, etc.) is provided in good faith for guidance purposes based on information from the seller. However, no representation or warranty is made by Elite Auctions as to the accuracy of such information. For example, any odometer or hour meter readings are not guaranteed, and should not be solely relied upon as an indication of actual use. If specific guarantees (like “engine runs” or certain functionalities) are given in the description, those are the responsibility of the seller and subject to their terms. Photographs are for identification purposes only; they may not reveal latent defects, and sometimes stock images or images of a similar item might be used if noted. You must not assume that accessories or items visible in a photo but not mentioned in the description are included with a lot.
  • No Reliance on Estimates: Any guidance on value or estimates provided by Elite Auctions are opinion only and carry no warranty. It is up to the bidder to determine what value they place on an item and bid accordingly.
  • Mechanical/Electrical Condition: Unless explicitly stated, items are not tested for functionality by the Auctioneer. Machinery, vehicles, and equipment may have unseen faults. Bidders should assume that no item is certified or roadworthy unless documentation is provided. It is the buyer’s responsibility to arrange any inspections, tests, or certificates (e.g., MOT for vehicles, PAT testing for electronics) after purchase at their own cost.
  • Vehicle Checks: Elite Auctions Ltd may perform basic provenance checks on vehicles (for example, using a database to ensure a vehicle is not reported stolen). However, we do not comprehensively check for things like outstanding finance, insurance write-off status, or previous accidents. Bidders intending to buy vehicles or heavy equipment should conduct their own checks (e.g., HPI check, finance checks) prior to bidding. Should any issue like outstanding finance or an undisclosed encumbrance on a vehicle come to light after the sale, the buyer must resolve this directly with the seller – Elite Auctions will assist with contact but will not assume liability, as the Auctioneer is not part of the sale contract between buyer and seller.
  • By participating in the auction, you acknowledge that you accept all lots as they stand, and that you have no recourse against Elite Auctions or the seller for the condition of the lot, except in the case of deliberate misrepresentation or fraud. We emphasize that no refunds or returns will be given (see next section) simply because a lot is not what you expected in terms of condition, quality, or functionality. Bidders should bid accordingly, based on their own examination and judgment.

All Sales Final – No Refunds or Returns

  • All sales conducted via Elite Auctions Ltd are final. There is no cooling-off period or right of cancellation after the hammer falls, as would be the case in consumer retail sales – this is a business-to-business transaction. Once you win a lot, you are committed to completing the purchase. No refunds, returns, or exchanges will be accepted on any lot except under the very limited circumstance that the Auctioneer (in its sole discretion) determines a lot was sold in a fundamentally misdescribed way that materially affects its value (and such cases are exceedingly rare in trade auctions). Dissatisfaction or buyer’s remorse is not a valid reason for non-payment or return. Likewise, discovering after purchase that a lot requires repair, refurbishment, or additional costs (e.g., parts missing, service needed) is part of the risk buyers take; these are used goods and may well show signs of wear or have latent defects. The buyer must carefully evaluate each purchase before bidding and factor in these risks.
  • Elite Auctions and its sellers do not offer “buy-backs” or post-auction price adjustments if a buyer decides they paid too much or if the item isn’t to their liking. Renegotiation of the price after the auction is not permitted. In summary, once a lot is sold and paid for, the buyer has no right to insist on a refund or credit, and the seller has no obligation to take the item back. The only exception would be if a court of law or applicable law required a refund under a specific situation, or if the Auctioneer explicitly agreed to one as a goodwill measure. Otherwise, “sold is sold.”
  • If you believe a lot was deliberately misrepresented or you have a serious dispute, you should contact Elite Auctions immediately to discuss it. We can liaise between you and the seller to try to resolve serious complaints, but we do not guarantee any particular outcome. Our involvement in any post-sale dispute is a courtesy, and it does not mean we assume liability for the item. Ultimately, any claim you have after purchase would typically be against the seller (since your contract of sale is with them), not against the Auctioneer. However, as noted, under these Terms, by agreeing to a trade-only auction, you have accepted that you buy at your own risk with respect to the condition and suitability of the goods.

Confidentiality and Non-Circumvention

  • By registering for our auctions, bidders may gain access to certain confidential information, such as the identity or contact details of sellers (vendors) or details about the assets for sale that are not publicly available. All bidders agree to use such information solely for participating in the auction and not to misuse it. Specifically, buyers and bidders agree not to circumvent Elite Auctions Ltd in any dealings. This means you should not attempt to privately contact a seller to purchase listed items outside the auction, nor attempt to make any arrangement that excludes the Auctioneer after you have learned of a lot through our platform. All sales of items listed in our auctions should be conducted through Elite Auctions (or with our direct facilitation) so that our rights and the rights of all parties are protected.
  • Both buyers and sellers, by participating in our auctions, undertake to keep confidential any non-public information obtained about the other party or the transactions. You shall not disclose details such as final sale prices (beyond what is publicly posted), seller identities, or any other sensitive information to third parties, except as required by law or with the written consent of Elite Auctions Ltd and the party concerned.
  • Directly contacting a vendor without permission, or attempting to negotiate a sale of auction items outside of the auction process, is strictly prohibited. Such actions undermine the integrity of our platform. If a bidder is found to be soliciting our vendors to trade outside the auction, or otherwise breaching this non-circumvention clause, Elite Auctions reserves the right to take appropriate action. This may include cancelling bids, banning the bidder from future auctions, and potentially taking legal action for any loss of business or damages incurred.
  • All communications regarding a lot you have won (for example, to arrange collection or discuss the condition) should go through Elite Auctions or with our knowledge. We will typically put you in touch with the seller post-sale as needed, but this clause is primarily meant to prevent side deals or poaching of sellers. We value and protect our network of sellers and the fairness of the auction marketplace.

Governing Law and Jurisdiction

  • These Terms and Conditions, and any contract or agreement entered into as a result of participating in an Elite Auctions Ltd sale, shall be governed by and construed in accordance with the laws of England and Wales. This governing law applies regardless of where a bidder or seller resides or where the item is located, as Elite Auctions Ltd is a business operating in England. All participants in the auction agree that any disputes or claims arising out of or in connection with these Terms or any auction sale will be subject to the exclusive jurisdiction of the courts of England and Wales.
  • By exclusive jurisdiction, we mean that if you want to bring a legal action against Elite Auctions Ltd (or vice versa), it must be brought in the appropriate courts in England (or Wales) and under English/Welsh law. You agree not to argue that those courts are an inconvenient forum or to try to bring proceedings in any other jurisdiction.
  • If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, that invalid part shall be severed, and the remainder of the Terms shall continue in full force and effect. Our failure to enforce any provision of these Terms at any time shall not be construed as a waiver of our right to enforce that provision in the future.

Acceptance of Terms

  • By registering as a bidder, placing a bid, or otherwise participating in an Elite Auctions Ltd auction, you acknowledge and confirm that you have read these Terms and Conditions and agree to be bound by them. You also acknowledge that these Terms may be updated from time to time (and will be made available to you), and that it is your responsibility to review them before participating in each auction.
  • Thank you for your cooperation. Elite Auctions Ltd is committed to a fair and transparent trading environment. We appreciate your business and wish you success in your bidding. By proceeding with bidding, you are accepting these Terms & Conditions, and a failure to adhere to them can result in legal consequences and/or account sanctions as described above.
